1. Scope of Work
All services โ website development, web and mobile applications, SaaS platforms, UI/UX design, AI solutions, branding and digital marketing โ are delivered strictly as described in the written proposal, quotation or scope document approved by the client. Anything not expressly listed in that document is considered outside the agreed scope and will be quoted separately.
2. Payment Terms
- 50% advance is payable before work begins. Project scheduling, resource allocation and development start only after this payment is received.
- 50% balance is payable on completion, at the time of deployment or final delivery of the project.
- Final deliverables, source files, hosting deployment and access credentials are handed over only after full and final payment is cleared.
- For long-running or phased projects, milestone-based payment schedules may be agreed in writing in the proposal.
- All quoted prices are exclusive of applicable GST and other statutory taxes unless stated otherwise.
- Third-party costs โ domain registration, hosting, SSL certificates, paid plugins, licences, APIs, payment gateway charges, stock media and advertising spend โ are not included in the project fee and are billed separately or paid directly by the client.
3. Free Management Period โ 6 Months
Following successful deployment, we manage and support your website free of charge for a period of six (6) months. This complimentary period covers:
- Bug fixes and error resolution in the delivered scope
- Minor content updates โ text edits, image replacement, contact detail changes
- Routine security patches and platform updates
- Uptime monitoring and basic technical support
This period expressly excludes major changes, including but not limited to: new pages, modules or features; redesign or restructuring of layouts; new integrations or third-party services; database or architecture changes; migration to a different platform or server; and any work that materially alters the originally approved scope. Such work is treated as a new requirement and quoted separately.
4. Annual Maintenance Contract (AMC) โ 1 Year
After the free management period ends, clients may opt for a one (1) year Annual Maintenance Contract for continued upkeep of the delivered product. A standard AMC typically covers routine maintenance, security updates, backups, bug fixes, minor content changes and priority technical support, as detailed in the AMC agreement.
AMC charges are quoted separately based on the size and complexity of the project, are payable in advance for the contract term, and are renewable annually. Major enhancements, new feature development and redesign work fall outside AMC coverage and are quoted independently. Third-party costs such as hosting, domain and licence renewals remain the client's responsibility unless expressly included in writing.
5. Revisions
Each project includes a reasonable number of design and content revision rounds as specified in the approved proposal. Revisions requested beyond that allowance, or after a stage has been formally approved by the client, will be chargeable at our prevailing rates.
6. Project Timelines
Delivery timelines shared in proposals are good-faith estimates based on timely cooperation from the client. Timelines are subject to extension where there are delays in receiving content, feedback, approvals, credentials or payments, changes to the agreed scope, or delays caused by third-party vendors or service providers. We are not liable for consequences arising from delays outside our reasonable control.
7. Client Responsibilities
The client agrees to provide all required content, images, logos, product data, credentials and approvals in a timely manner, and warrants that all material supplied to us is lawfully owned or licensed by them. The client is solely responsible for the legality and accuracy of the content they provide.
8. Ownership & Intellectual Property
Upon receipt of full and final payment, ownership of the final delivered work transfers to the client. We retain ownership of our pre-existing frameworks, internal libraries, tools and reusable components used in the build. Third-party components remain subject to their respective licences. We reserve the right to display the completed project in our portfolio and marketing material unless the client requests otherwise in writing.
9. Cancellation & Refunds
The 50% advance payment is non-refundable once work has commenced, as it covers resource allocation, planning and initial development. If a project is cancelled mid-way by the client, charges are payable for all work completed up to the date of cancellation. Custom development work, once started, is not eligible for refund.
10. Confidentiality
Both parties agree to keep confidential all proprietary and business-sensitive information shared during the engagement, and not to disclose it to any third party without prior written consent, except where disclosure is required by law.
11. Limitation of Liability
Our total liability arising out of or relating to any engagement shall not exceed the total fees actually paid by the client for that specific project. We are not liable for indirect, incidental or consequential losses, including loss of profit, revenue, data or business opportunity. We are not responsible for downtime, data loss, breaches or failures caused by third-party hosting providers, plugins, APIs or services outside our direct control.
12. Support Requests
Support requests should be raised through our official support email or the contact details published on this website. Response times during the free management period and under AMC are as specified in the applicable agreement.
13. Amendments
We may update these Terms & Conditions from time to time. The version published on this website at the time of engagement applies to that engagement. Clients are encouraged to review this page periodically.
14. Governing Law & Jurisdiction
These terms are governed by the laws of India. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Gautam Buddh Nagar, Uttar Pradesh, India.
